Opening a UK subsidiary is often the easy part. Running it well from Italy, month after month, is where most of the effort goes. Working with the UK branches of Italian companies, we see the same five areas underestimated again and again.

1. The compliance calendar

A UK company has its own deadlines, separate from the parent company: annual accounts and a confirmation statement with Companies House, a Corporation Tax return with HMRC, VAT returns if registered, and monthly payroll reporting if it has employees. Penalties for late filing are automatic, and they do not care whether the delay happened in London or in Milan. Keep one shared calendar and one person accountable for it.

2. Directors' duties

The directors of a UK company have personal legal duties under UK law, even when the real decisions are taken at headquarters. A director who signs accounts or documents without understanding them is still responsible for them. Make sure your UK directors are informed, involved and properly supported.

3. Banking and payments

Opening and maintaining a UK business account involves identity and compliance checks that can take weeks, and banks may ask for updated information at any time. Plan ahead, keep company documents up to date and avoid relying on a single bank for critical payments.

4. Reporting that headquarters can actually use

Different currency, different accounting rules and sometimes a different financial year: UK figures do not always fit neatly into Italian group reporting. Agree from the start on monthly management accounts in a format headquarters understands, and keep intercompany invoices and transfer prices documented and consistent. Specialist advice on transfer pricing is worth the cost.

5. A real local presence

A registered address is not a presence. Someone needs to answer the post, talk to the bank, follow up with suppliers and represent the company with local stakeholders. Without a person on the ground, small issues become big ones simply because nobody noticed them in time.

With our partner firms, we act as the local management team for the UK subsidiaries of European companies: compliance calendar, management accounting, banking and local stakeholders. If your UK branch needs more attention than you can give it from Italy, let's talk.
